Why You Should Incorporate Your Non-Profit


Hi Inner Circle Member:

Even though I taught Earth Science I am not sure if you would have seen the lunar eclipse last night where you live. Here in Vancouver we had a fantastic night to see this unique effect. Our clear skies let us watch the lunar event for over 3 hours.

3. Why You Should Incorporate Your Non-Profit

Not all non-profits incorporate and apply for 501(c) 3 status from the IRS. Here is a list of reasons you might want to have a non-profit incorporation. Of course there will be paperwork, hiring a lawyer to prepare your articles of incorporation, time and energy to comply with regulatory demands, and proper governance, but the benefits far outweigh the cons.

Purpose and Direction

Forming a non-profit corporation forces you to be clear about your mission, vision, operating rules, and procedures for decision making. Clear-cut delegation of authority and specific operating rules disclosed in the articles of incorporation and the bylaws make leading an organization more efficient.

Organizational Continuity

A corporation is a legal entity separate from the individuals who oversee it. It is this separate legal existence that provides protection from liability as well as allowing the perpetuity. A non-profit corporation continues to exist beyond the lifetime or involvement of the directors and/or staff that started or managed it. This fact is also attractive to donors who want to fund a cause over the long term.

Liability Protection

Protecting members of your organization from personal liability is a critical benefit of a non-profit incorporation. Board members, officers, and employees of your organization will be protected from liability for corporate debts or liabilities such as unpaid organizational debts or lawsuits against the organization. Creditors can go after only your corporate assets, not the personal assets of the officers and staff who manage, work for, or volunteer for your organization.

Fundraising

As a 501(c) 3 non-profit corporation you will be able to receive donations and grants. Tax-exempt government foundations are required to give funds only to 501(c) 3 organizations.

Individual donors to your non-profit corporation can claim personal income tax deductions for their donations, and bequests will be exempt from federal estate taxes

Taxes

As a non-profit corporation, your organization is eligible for state and federal exemptions from corporate income taxes and other taxes. If you expect to earn substantial amounts of money from your services, exhibits, product sales, or performances, you will likely want to seek an exemption.

Employee Benefits

Being a corporation opens the door for employee benefits such as group life insurance, health insurance, pension plan, etc. These benefits are not available to the workers in unincorporated organizations.
